The ECCCA is working with Randy Patterson regarding the parking garage project south of the Erie Courtyard Hotel, which would be included in the Bayfront Development Plan. It was discussed that they could begin working on that project prior to having the Bayfront Development Plan finalized and bridge fund the project prior to the Authority receiving funding, if necessary. b. East Side Renaissance is currently working on refining their proformas for both the 1108 State Street and the 908-912 Parade Street MHEDS projects. c. The Performing Arts Collective Alliance is also working on a formal proforma to share with the Board. It was pointed out that these projects currently represent approximately $30 Million in CRIZ funds and would generate over $100 Million in construction. 6. Discussion of Hiring Financial Advisor – Brian Polito recommended engaging PFM Financial Advisors to help with several facets of the funding process, including financial planning, budget and strategic advice and planning, as well policy development and debt issuance. Mr. Polito provided a copy of a proposed engagement letter to the Board Members prior to today's meeting. Mr. Polito indicated that PFM is a registered, municipal advisor who has worked with other CRIZ Boards, and could have the Erie CRIZ in a position to borrow by the end of the year. A Motion to engage PFM Financial Advisors under the terms of the engagement letter provided was made by Katrina Vincent, seconded by Matthew Good and unanimously passed by the Board. During this discussion Brian pointed out that the next step would be to hire a revenue consultant, who would provide a report necessary to underwrite a bond issuance. There was further discussion as to whether the Erie Community Foundation could also become a project lender in the future. The Board asked Brian to initiate a conversation with the Erie Community Foundation to see if this is something they would be interested in for future projects. 7. Administrative Update - See above. 8. Committee Reports a. Development Committee – Waiting for refinements for some of the proposals. 9. Old Business: None 10. New Business: None 11. Review of Minutes - A motion to approve minutes from the February 18, 2025 meeting was made by Roger Richards and seconded by Katrina Vincent. The minutes were approved unanimously. 4. Discussion of Potential Projects Scott Enterprises - Scott Enterprises and Brian Weber provided a power point presentation regarding Harbor Place outlining 7 additional phases to the already completed Phase 1. Phase 1 has created 150 new jobs and by the end of 2025 will have generated over $5 Million in state tax revenue. It was discussed that several of the projects would qualify for CRIZ funding, including two separate parking structures and the removal of the existing smokestack. It was also clarified that while the smokestack is not in the CRIZ designated zone, it has "place holder status" and would qualify as an acceptable project area. Scott Enterprises confirmed that not all of the Phases need to occur in the sequence presented; however, once the second hotel in Phase 2 is built, the surface parking will reach it's maximum capacity and a parking structure would be necessary to move forward with any remaining phases. Board discussions confirmed that while the CRIZ funds will not be available until November of 2026, they could commit now to a project that was shovel ready and had access to bridge financing. Scott Enterprises indicated that any of their projects are 90% to shovel ready and pointed out that they received City Counsel approval on all phases of Harbor Place in 2016. ECRDA - Tina Mengine and Leah Manino presented material for the Erie County Redevelopment Authority regarding their EMI project, which is the clean up and renovation of the former Erie Malleable Iron building on 12th Street. They have secured several grants for the current construction phase, indicating that all of the previous phases are paid in full and the Capital Stack in the presentation materials are still available. They did express some concern that three of the Federal grants that have been secured could be at risk based on decisions made at a Federal level. They did identify an approximate $12.5 Million gap in their current budget, which includes repayment of the $5 Million City of Erie loan, which is due April 2026. Leah Manino explained that ECRDA cannot afford to have any long term debt over $4 Million at completion of the project. They are interested in possible grants, loans or a guarantee to a lender to help them secure a loan. PACA – The Performing Arts Collective Alliance was scheduled to present, but no representative attended the meeting. 5. Administrative Update - Brian Polito gave an administrative update. It was his first meeting as the Executive Director. He indicated that FourScore was on site all of last week and was very active in the community, introducing herself to businesses within the CRIZ zone. Brian noted that the next local tax fund submission is due by June 1st and must be certified and turned into the State by June 15th. Brian reported that ECCA has been hired for payroll services and their fee will be less than $1,200 per year. He further indicated that he has secured office space through the Erie Regional Chamber and Growth Partnership and that the CRIZ website will be up and running within in the next two weeks. Brian asked the Board to consider hiring Aspect Consulting to assist in moving the application and reporting process online. The cost would be $120,000 for the first year, which includes set up costs. Moving forward the consulting fees would be $30,000 per year, plus $36,000 for webhosting. Moving the application online streamlines the reporting process for the business owners. Aspect Consulting currently works with the Allentown CRIZ. Reminder regarding Ethics Act Filing Requirement—Due by May 1st 7. Old Business - No old business was discussed. 8. New Business - No new business was discussed. 9. The motion to do so was made by Matt Wachter. The motion was seconded by Rogers Richards. Daria Devlin abstained from the vote. 6. Discussion of Potential Projects - Gus Pine, the Executive Director of Erie Events, offered a power point presentation, highlighting Erie Events successful revitalization efforts throughout the City of Erie, as well as several current and further projects that would benefit from CRIZ funding. Erie Events believes they would be a great candidate to partner with CRIZ due to the high profile of their current successes. They are currently operating four venues within the City of Erie, including Erie Insurance Arena, the Warner Theater, UPMC Park and the Bayfront Convention Center. All of which are operating without using any local tax dollars. They also operate two hotels on the Bayfront and partner with 8 Great Tuesdays, Erie Promotions & Expos, Two 45 Waterfront Grille, Shoreline Bar & Grille, The Cove Restaurant, Bayhouse Oyster Bar and Restaurant, Pier 6 Rooftop Bar and Restaurant as well as Monacella Massage and Kinesiology. Mr. Pine discussed several projects in varying stages of readiness and research, including the Market House, which was referred to as a shovel ready project, that they are expecting to break ground on this year. Other projects included parking ramp expansion, Bayfront Place, potential expansion of the Bayfront Convention Center; Downtown Entertainment District; Liberty Park improvements and the Erie Zoo. Board Members asked several questions about each of the planned and potential projects, including estimated costs, taxability potential, CRIZ requirements and qualifications, as well as the potential need for city counsel approval on some of the projects. The Board encouraged Mr. Pine to continue to provide as much information regarding any and all projects, indicating that these are the types of redevelopment projects that are perfect for CRIZ funding. The Board indicated that they would be interested in the continued development of the Bayfront and requested that he get more defined numbers and timelines attached to each of the projects discussed, including the possible tax generation results. Mr. Pine inquired as to whether there is an initial application process. The Board is currently working on creating the process and will know more once they meet with the advisors. There was a very brief discussion about possibly purchasing bonds at some point, with a warning that this would have to be researched and studied before any steps were taken. 7. Discussion of Hiring of Advisors – It was discussed that the Board has hired FourScore Group as well as Randy Patterson, who has experience with the Lancaster CRIZ. The terms of the advisor agreements we not discussed. FourScore is planning a site visit on March 10th. It was decided that this should occur at the MacDonald Illig Law Firm, so that the advisors can see the Bayfront area. 8. Reminder regarding Ethics Act Filing Requirement – The Board was reminded to send the Ethics Act Filing Requirements to either Attorney Walczak or Attorney Cressman. 9. Old Business / New Business - DCD (Department of Community & Economic Development) is planning a visit on March 11th and would like to get together in the morning. Minutes: 1911175 CITY OF ERIE REVITALIZATION AND IMPROVEMENT ZONE AUTHORITY BOARD OF DIRECTORS MEETING January 15, 2025 100 State Street, Suite 700, Erie, PA 16507 Attendees: Matthew Wachter, Matthew Good, Daria Devlin, Joseph Vendetti, Carla Higgins, Katrina Vincent, Cathryn Morris-Easterling, Michael Raftis, and Roger Richards (via Teams) Also attending: Brian Cressman, Esq., James Walczak, Esq., Julie Pecoraro, Drew Whiting and Corey Cook from EDDC, Katie Nagle from Senator Dan Laughlin's office, and Sheila Sterrett. 1. Call to Order. Meeting was called to order at 3 p.m. by Matthew Wachter. 2. Public comment. No public comment. Daria Devlin stated that she had received numerous requests from the public for virtual access to the meeting and requested that a virtual option for the public be available for future meetings. Matthew Wachter noted that there are some potential risks in offering an open meeting link but agreed that it is something they may consider in the future if a way to do so securely can be determined. 3. Review of Minutes. A motion to approve minutes from the December 18, 2024 meeting was made by Matthew Good, seconded by Daria Devlin, and approved unanimously. 4. Discussion of Approval Letter. Matthew Wachter noted that the approval letter was included in the packet given to Board Members for their review. 5. Discussion of Committee Appointments. Matthew Wachter stated that he had a number of Board Members reach out to him regarding serving on committees. He stated that Michael Raftis, Roger Richards, Katrina Vincent, Carla Higgins, and Cathryn Morris-Easterling expressed interest in sitting on the Development Committee. He stated that Ms. Devlin and Ms. Morris-Easterling expressed interest in sitting on the Communications Committee. 6. Discussion of Hiring of Advisors. Matthew Wachter discussed the current status of the hiring of advisors. FourScore Group submitted a proposal and a meeting is scheduled next week to discuss the proposal. FourScore would be responsible for completing all tasks listed in the approval letter as well as provide the economic analysis that the state requires when a project is proposed. Michael Raftis stated that other CRIZ projects have utilized FourScore Group's services and that a multi-year engagement would be helpful, after which the services could possibly be brought in house. Mr. Raftis stated that FourScore Group is not cheap but that they do good work. Mr. Wachter stated that the proposal they submitted was for five years but believes a three year term would be more reasonable. The other advisor to be retained is Randy Patterson, who has experience with the Lancaster CRIZ. Mr. Wachter stated that the money to pay these advisors will come from the funds received from the Erie Community Foundation. Carla Higgins requested that FourScore Group create a video or presentation describing their services for those on the Board who are not as familiar with their work. Attorney Cressman stated that their services go above and beyond accounting services and will consist of a lot of "boots on the ground" work in 1911175 engaging the people who will be affected by the CRIZ. He also noted that they have a good working relationship with the State. Daria Devlin requested adding to the contract with FourScore Group that there are resources already available in Erie to assist with their efforts and that perhaps there be subcontracting funds allocated for Erie businesses. 7. Discussion of Ethics Act Requirements. Attorney Cressman discussed the filing that must be made by each Board Member, which was given to the Board Members in their packets. Attorney Cressman stated that the Authority has to keep them on file and have them available in case the state wants to review. It is an annual filing requirement. It was decided that the Board Members should submit their filings to MIJB and MIJB will keep them on file for the time being. 8. Old Business / New Business. Drew Whiting and Corey Cook from EDDC presented the Flagship Commons project that they are requesting be funded by the CRIZ. He stated that this project is needed to tie together the first phase of the EDDC project, as the building to be renovated sits between two already renovated buildings. He said that it is important because the project serves to signal the revitalization of Downtown Erie, which will further encourage others to invest in the City. The finished project will include Class A office space, hospitality, and retail, as well as a vestibule that can be used for public events. It will also turn 5th Street into a pedestrian friendly cultural center of the City. He discussed the demand for office space in the City. He stated that it is a $24 million project, with $6 million being funded by local stakeholders and additional funding through lines of credit. He stated that there is a $6-8 million gap in funding and this is what the CRIZ would be used for. He stated that the EDDC has never received any public funding. If the project stays on track it can be delivered by the end of 2026. Corey Cook discussed the specific construction schedule, with main construction to get underway April 1. Mr. Whiting stated that they need to close their loan to keep up with the construction bills and that come April, there may be construction bills that they cannot pay. Katrina Vincent asked what projects could be scaled back if the funding did not come through. Mr. Whiting answered that nothing could be scaled back. Michael Raftis noted that the EDDC projects downtown have triggered other revitalization efforts in the city. Matthew Wachter stated that they should meet with the Development Committee to put together a proposal which discusses the impact of the project and how the CRIZ can support it. Attorney Cressman noted that this project was included in the CRIZ application and DCED had no pushback on it. Ms. Vincent asked about the timing of the approval of projects and Mr. Wachter stated that it can be anywhere from 45 days to one year for the state to approve projects. Matthew Good asked that Mr. Whiting remind them of who the EDDC local stakeholders are and he named Erie Insurance, UPMC, Gannon University, Mercyhurst University, Erie Bank, Marquette Savings Bank, Northwest Savings Bank, PNC, Plastek, AHN/ St. Vincent, and National Fuel, along with some smaller businesses and Mr. Hagen. 1911175 Attorney Walczak asked what the ownership structure would be. Mr. Whiting stated that EDDC would be the developer and property manager. The question was raised as to whether the CRIZ could hold equity and Attorney Walczak stated that it has never been done before and that because a lot of these projects are much bigger than projects funded by other CRIZ Authorities, Erie will be a test case for what the state will approve. Mr. Whiting stated that even though CRIZ funding would not be provided until 2026, the commitment of funding from the CRIZ could serve as collateral for additional loans to see them through the construction. Daria Devlin then presented another project that will be requesting CRIZ funding: Schoolhouse Apartments at Washington Square, which is a project to house the homeless. She stated that the EDDC project will not be successful if this project isn't successful, as there is a dire need to house the homeless in downtown Erie. She stated that the assessment of homelessness in Erie shows that it is a solvable problem. She noted that this project is based on a "housing first" philosophy. Through this project, BUILD would transform the former Erie School District Administration Building into 22 one-bedroom apartments for use by the homeless. Supportive services would then come to the residents at the apartment building and the use of the supportive services would be a requirement for living in the apartment building. Because the CRIZ will not fund solely residential projects, there is 12,000 square feet allocated to commercial space in the building, which Ms. Devlin stated would hopefully be used to support the mission of the project. She noted that CHN of Cleveland is also building additional units with a similar purpose on an adjacent lot but the projects are separate and not dependent on each other. Ms. Devlin stated that the hope is that the occupants will be issued housing vouchers and that the occupants will be able to stay in the housing as long as they are able to pay the rent. She stated that the City Housing Authority has not been very helpful in the securing of vouchers but the County has. She stated that BUILD will be the owner, developer, and manager of the property. They are hoping to break ground in the summer and that it should be a six month construction process. They are working with PFM on financing options and PFM has stated that they will most likely close on the loan in the fall. The funding that they are requesting from the CRIZ will be for the purposes of debt servicing. Matthew Good stated that CHN has a proven track record of reducing homelessness and is glad to see that these projects are in the works for Erie. He also stated that the commercial space in the building could be used to provide job opportunities for the residents. 9. Discussion of personnel matters. Matthew Wachter stated that it was not necessary to hold an executive session for the discussion of personnel matters regarding hiring of administrative staff. He stated that he has received interest from five candidates for the Executive Director position and that if anyone else knows of any other possible candidates to let him know. He stated that he, Roger Richards, and Matthew Good would gather the resumes and they would like to fill the position within the next two months. He also mentioned that in addition to an Executive Director, they are looking to hire a bookkeeper, 1911175 who may also serve as an Assistant. He noted that the Authority can use 5% of funding for operational matters, which includes the renting of office space. Carla Higgins asked if the state provides a job description for the Executive Director position and Mr. Wachter said no. But he stated that the job would require someone with a knowledge of finance, communication skills, the ability and willingness to work with the public and the state, and the ability to recruit potential developers. 10. Meeting Adjourned. The meeting was adjourned at approximately 4:15 pm. A motion to adjourn was made by Carla Higgins, seconded by Matthew Good, and approved unanimously.

Gus Pine, Executive Director of the ECCCA, plans to present to the Board at its January meeting regarding ECCCA’s pipeline of projects. 1908094.1 Katrina Vincent inquired regarding any projects on Port Authority parcels. Atty. Walczak discussed the Port Authority parcels in the CRIZ, and the relationship between the Port Authority and ECCCA regarding operation of Liberty Park as well as discussions of a project site study for the parcel. Mrs. Devlin added to the discussion from the point of view of the Port Authority and there being a revenue issue to resolve. Atty. Wachter and Mrs. Devlin agreed a further meeting must occur to sort through details. Ms. Vincent mentioned another developer that may have interest in developing projects within the CRIZ. Discussion turned to setting up a “backstop” for funding to avoid returning increment to the State in a year. Mr. Wachter discussed the idea of a small business loan/grant fund. Atty. Walczak discussed the benefit such a program could provide to businesses that have a reporting responsibility, but do not have a development project to otherwise benefit from the CRIZ. Mrs. Devlin emphasized the benefit it could provide to contractors, particularly minority and female owned businesses within the CRIZ to assist in jumpstarting their businesses. Cathryn Morris-Easterling asked whether the loan/grant fund would be comprised of whatever increment is leftover each year or separately budgeted and funded. Mike Raftis and Matthew Wachter affirmed the loan/grant fund would be allocated for, not a project funded with leftover increment each year. Atty. Cressman discussed Lancaster’s experience in creating an endowed fund for small business loans/grants with a portion of a bond issuance. Lancaster received pre-approval on criteria from the State for applicants to be eligible to receive funding, and administers the program without taking each loan/grant to the State for approval. Mr. Wachter discussed the City’s successful existing small business loan/grant program, and whether the administration of the CRIZ program could be linked into the City’s loan administration team. 6. Discussion of Committees. Mr. Wachter discussed the importance of creating committees, particularly a Project Review Committee and a Communications Committee. Until the Authority hires an administration, all activities have to occur through the Board and its advisors. Mr. Wachter asked any Board members with interest in serving on a committee to reach out to him. Atty. Walczak also asked any Board members that know of other potential projects to bring them to the Board. Mrs. Devlin asked whether Mr. Wachter has talked with Kim Thomas of Infinite Erie. Mr. Wachter replied that they have spoken frequently, and there are no other projects Ms. Thomas is aware of other than those in Infinite Erie’s project pipeline. 7. Hiring of Advisors. Mr. Wachter discussed Erie Insurance’s retention of advisors to assist in creation of the Authority—particularly, FourScore and RP Consulting. Each has presented a proposal to the Board, but the proposals have not been extensively reviewed yet. Ms. Vincent asked whether such contract would have to be publicly bid. Atty. Walczak responded they would not, as professional services do not need to be publicly bid. 1908094.1 8. Old Business / New Business. Mike Raftis asked about what the Authority is thinking it will offer or require of applicants and their projects. Mr. Wachter discussed that we will have to figure it out as we go, and there may be changes on a project by project basis. Funding options may include loans, grants, commitments to cover debt service, equity, etc.. We must figure out our tools. Atty. Walczak discussed the question of whether equity would be permitted, and two different developers that have asked this question. Cathryn Morris-Easterling discussed the importance of transparency with project review and approval. She worries about the perception of not having a menu of funding options will lead to a perception that the Authority is not transparent. Mrs. Devlin discussed the importance of making sure the little guy has equal footing, and a menu of options would help with that. Mr. Raftis added than an objective framework is important. Atty. Walczak discussed an outline—serving as a type of menu—that he is developing, and that is being review by our consultants currently. 9. Meeting Adjourned. The meeting was adjourned at approximately 3:51 pm. A motion to adjourn was made by Katrina Vincent, seconded by Roger Richards, and approved unanimously.

A motion to approve minutes from the October 9, 2024 meeting and the September 19, 2024 meeting was made by Matthew Wachter, seconded by Carla Higgins, and approved unanimously. 4. Discussion of Project Timelines. Matthew Wachter discussed the timeline of future projects. The Board and then the DCED must approve all projects, even those included in the initial DCED application, and approval can take ninety days and possibly up to a year. Because of this, Mr. Wachter suggested that the Board begin its approval process early in 2025 to be ready to submit project applications to DCED so that projects will be ready to go to cover the first year's increment. Mr. Wachter suggested asking those with shovel-ready projects to present to the Board in early 2025 regarding their status and what they would need through this project. Daria Devlin requested that because this will be time consuming, the Board start holding time for these presentations now, or create a subcommittee to deal with these presentations. The Board discussed possible financial arrangements, such as anticipatory bank loans for shovel-ready projects or perhaps a blanket loan to the CRIZ Authority. Once the presentations are made, the Board can create a portfolio of three to four possible projects and take it to the bank. It was suggested that the Board talk to Lancaster banks who have experience with CRIZ funding projects and may be able to suggest a blueprint for going forward. Daria Devlin suggested possibly hiring a third party for financial advising/modeling and suggested PFM Advisors as an option. She also suggested that the Board create a "menu" of offerings available to recipients, as each project will be different. 5. Update on Financing for Operational Expenses. Matthew Wachter has met with the Erie Community Foundation regarding obtaining a $1.5 million loan, with a three-year term and a balloon payment at the end. On December 4, 2024, Mr. Wachter will meet with the Board of the Erie Community Foundation, where they plan to vote on the proposed loan. 1903771 Mr. Wachter stated that bank accounts for the Authority have been opened at Marquette Savings Bank. There was a discussion regarding hiring administrative personnel. Mr. Wachter stated that 5% of the tax increment is allowed to be spent on administrative matters. Katrina Vincent asked if there would be an application fee for those applying for CRIZ funding. There was discussion of the possible ways to include an application fee, including considering it on a case by case basis for for-profit businesses. Roger Richards stated that he was philosophically opposed to an application fee. Mr. Wachter stated that they would return to the subject at a later date. 6. Old Business / New Business. Matthew Wachter stated that the Board received a letter from the Department of Revenue with some questions and issues regarding the DCED application, such as overlapping tax issues, LERTA issues, and whether the Erie School District supports the CRIZ application. Neither he nor Attorney Walczak believe that these issues are significant or would in any way hinder the application. They have a call with the Department of Revenue to clarify these issues on November 21, 2024 and Mr. Wachter will update the Board upon its conclusion. 7. Meeting Adjourned. The meeting was adjourned at approximately 3:45 pm. A motion to adjourn was made by Matthew Wachter, seconded by Roger Richards, and approved unanimously.
